Vail Resorts facing a proxy fight over its board, business strategy - The Colorado Sun

2026 Midterm Elections and Vail Resorts Board Fight

The 2026 midterm elections hold significant weight, but Vail Resorts leaders are currently focused on a crucial internal election in December. A proxy fight has emerged as the company prepares for its annual meeting, with Oasis Management, holding nearly 10% of Vail Resorts stock, seeking to install two new board members.

Oasis Management, led by Seth H. Fischer, argues for a dramatic shift in Vail Resorts' business strategy, stating that the company's performance has been disappointing. They refer to their campaign as "Lifting the Vail."

Vail Resorts, the world's largest ski resort company with 42 areas across three continents, counters that their current strategy, led by CEO Rob Katz, is on track. They attribute recent slow sales of the Epic Pass to a natural slowdown after years of rapid growth and highlight new initiatives aimed at improving the guest experience and financial performance.

The company urges shareholders to be patient as Katz steers the company through a turnaround. They point to substantial returns for shareholders over the past decade, surpassing the S&P 500.

Oasis Management, however, has a different view, suggesting that Matthew Prince, a Utah billionaire and owner of Cloudflare, is the driving force behind their campaign. Prince has criticized Vail Resorts' performance and wants to sell Park City Mountain Resort, where he lives and once worked as a ski instructor. Oasis Management denies any collaboration with Prince, stating that their nominees have not spoken with him and their goals align differently.

As the December 14 meeting approaches, the proxy statement and counter-statements set the stage for a heated debate, leaving shareholders to consider the future of Vail Resorts.
